Sentics Terms & Conditions (“T&Cs”) for the use of Sentics services – Version 1.0, effective February 27, 2024

1 – Purpose and Scope

(1) Sentics GmbH, Hermann-Münch-Str. 2, 38440 Wolfsburg, Germany (“SENTICS”) offers an innovative service platform for the implementation of computer vision in industry (“Service”). The Service consists of the following core elements:

  • Active accident prevention by automatically reducing vehicle speed in dangerous situations (“Active Collision Avoidance”);
  • Analysis of data to identify dangerous situations and prevent accidents (“Prevention Services”);
  • Process analysis and quality assurance (“Process Services”).

All elements are conclusively described in the applicable service description. Further technical information is available on the SENTICS website at https://www.sentics.de.

(2) SENTICS provides access to its Service via a web-based platform (“Platform”). The purchase and use of the Service offered on the Platform is subject to these T&Cs.
(3) These T&Cs are available at https://www.sentics.de at any time.
(4) In the event of a conflict, the following documents apply in hierarchical order: individual contract, individual SENTICS offer, these T&Cs, service description, further applicable technical documentation.
(5) Contractual declarations and notices from the user in relation to these T&Cs and individual contracts (e.g. setting of deadlines, notices of defects, cancellation declarations) must be made at least in text form (e.g. email, fax, letter) to be effective.

2 – Service

(1) The Service is provided via the Platform and offered as a subscription model. The subscription may begin with a free trial period, the duration of which is determined during registration and account creation. The free trial period is solely for the purpose of testing the Service.
(2) The Service is provided as a service, not as a work product. SENTICS does not owe specific results.
(3) SENTICS guarantees availability of the Service in accordance with the service description and Section 10 of these T&Cs.
(4) The Service is provided at the internet interface of the SENTICS data center. The user is responsible for the required end devices. Minimum requirements for these devices may be defined in the service description. If these are not met, any resulting limitations or failures are not the responsibility of SENTICS.

3 – Computer Vision and Artificial Intelligence Models

(1) SENTICS uses software that combines artificial intelligence (AI algorithms) with conventional digital image processing to provide its services. The AI models are pre-trained with large datasets and further optimized during customer implementation.
(2) After go-live, the pre-trained models are tested in customer operations, and newly collected data is used to improve service quality.
(3) SENTICS undertakes to maintain administrative, physical and technical safeguards to ensure the confidentiality and integrity of customer data. Both parties are responsible for compliance with data protection laws and consent rules.
(4) Regular updates improve the functionality of the SENTICS service. If maintenance work is required, it will be carried out at weekends after prior notification. Customers must designate an update contact to coordinate the process.

4 – Purchase of Service

(1) The Service is purchased by placing and accepting an order.
(2) The applicable service fees and payment methods are communicated during the ordering process.
(3) The fees for the Service are payable in advance for the respective billing period. Unless otherwise agreed, this period is one month.
(4) Additional services or support services may be billed separately.
(5) The user remains responsible for outstanding amounts. If a payment fails, access to the Service may be suspended.

5 – Compensation and Price Changes

(1) The agreed compensation includes use of the base services and agreed additional services. Updates are included unless otherwise agreed.
(2) The standard subscription term is 12 months unless otherwise agreed.

6 – User Obligations

(1) The user is obliged to contribute to the provision of the Service by, among other things:

  • Changing initial passwords and storing them securely.
  • Updating registration data when changes occur.
  • Meeting the service requirements.
  • Regularly cleaning and maintaining the Aruco markers on industrial vehicles.

(2) The user must not perform any actions that impair the Service or the Platform, e.g.:

  • Automated data extraction or hacking attempts.
  • Uploading malicious software.
  • Reverse engineering the Platform.

7 – Limitation of Liability

(1) SENTICS is liable without limitation for damages to life, body or health.
(2) For other damages, SENTICS is only liable in cases of gross negligence or intent, or breach of essential contractual obligations.

8 – Confidentiality

(1) Both parties are obliged to protect confidential information and not to disclose it without authorization.
(2) This confidentiality obligation remains in force for three years after the end of the contract.

9 – Term and Termination

(1) The user account remains active until cancellation or expiry of the subscription.
(2) Cancellations must be made in writing.

10 – Applicable Law and Jurisdiction

(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) Place of jurisdiction is Braunschweig, Germany.

11 – Amendments to T&Cs

SENTICS reserves the right to amend these T&Cs with seven weeks' prior notice. If the user does not object within six weeks, the changes are deemed accepted.
